END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“EULA”) is a legal agreement between you (whether an individual or a single entity) and DataHub Solutions, LLC (“DataHub Solutions,” “we,” “us,” or “our”) governing your use of any software product, executable application, digital tool, utility, or related components distributed by DataHub Solutions, LLC (collectively, the “SOFTWARE PRODUCT”).

By installing, downloading, activating, accessing, or otherwise using the SOFTWARE PRODUCT, you acknowledge that you have read this EULA, understand it, and agree to be bound by its terms. If you do not agree to the terms of this EULA, you may not install, activate, or use the SOFTWARE PRODUCT.

This EULA applies to all current and future software products distributed by DataHub Solutions, LLC, including but not limited to ValuPro360™, DataProSeries™, UtilityProSeries™, and any related modules, executables, updates, documentation, and digital materials.

1. GRANT OF LICENSE

The SOFTWARE PRODUCT is licensed, not sold.

Subject to your compliance with this EULA, DataHub Solutions grants you a limited, non-exclusive, non-transferable, revocable license to:

Install and use one copy of the SOFTWARE PRODUCT on a single device per purchased license.
Activate the SOFTWARE PRODUCT using a valid activation code obtained through an authorized purchase.
Transfer your license to a different device only by using the built-in deactivation feature to surrender the current activation and re-activate the SOFTWARE PRODUCT on another machine.

You may create one backup copy of the SOFTWARE PRODUCT solely for archival purposes.

All other rights not expressly granted are reserved by DataHub Solutions.

2. LICENSE ACTIVATION, MACHINE-ID LOCKING & VALIDATION

The SOFTWARE PRODUCT uses machine-identification technology and activation-code verification to prevent unauthorized copying and license sharing. You agree to the following:

Each purchased license may be activated on one device at a time.
Activation codes are tied to a unique machine identifier unless properly deactivated.
License transfers require you to use the built-in deactivation button within the SOFTWARE PRODUCT.
Activation codes may not be shared, sold, posted online, or distributed.
DataHub Solutions may revoke or disable licenses that show signs of unauthorized distribution, excessive activation attempts, tampering, or fraudulent use.

The SOFTWARE PRODUCT may connect to DataHub Solutions’ licensing servers or WooCommerce licensing API for:

Activation
Deactivation
License validation
Version or integrity checks

No analytical data, appraisal data, spreadsheets, personal files, or user-generated content are transmitted during licensing.

3. PERMITTED USES AND RESTRICTIONS

3.1 You MAY:

Use the SOFTWARE PRODUCT for personal or commercial work.
Install updates provided by DataHub Solutions.
Use the SOFTWARE PRODUCT offline after activation.

3.2 You may NOT:

Reverse engineer, decode, decompile, disassemble, or otherwise attempt to derive the source code of the SOFTWARE PRODUCT.
Rent, sell, lease, sublicense, lend, distribute, or share your activation code or copies of the SOFTWARE PRODUCT.
Circumvent, modify, bypass, or disable license verification, machine-ID validation, or the activation system.
Use the SOFTWARE PRODUCT to develop competing products, analysis tools, automation systems, or derivative works.
Modify branding, remove copyright notices, or misrepresent authorship.
Use the SOFTWARE PRODUCT for any illegal or unauthorized purpose.

Any violation of this EULA will immediately terminate your license.

4. UPDATES, FEATURE CHANGES & FUTURE PRODUCTS

DataHub Solutions may provide updates, enhancements, fixes, or new versions of the SOFTWARE PRODUCT. You agree that:

Updates may modify features, functionality, or interface elements.
Some updates may require reactivation.
Future tools or modules may have additional licensing requirements.

DataHub Solutions is under no obligation to provide continuous updates.

5. COPYRIGHT, OWNERSHIP & INTELLECTUAL PROPERTY

The SOFTWARE PRODUCT is protected by U.S. and international copyright laws, treaties, and intellectual property rights.

DataHub Solutions retains all ownership and intellectual property rights in the SOFTWARE PRODUCT.
You receive a license to use, not ownership of the SOFTWARE PRODUCT.
All trademarks—including DataProSeries™, UtilityProSeries™, ValuPro360™—are owned by DataHub Solutions, LLC.

Unauthorized copying or distribution is strictly prohibited.

6. PRIVACY & DATA COLLECTION

The SOFTWARE PRODUCT does not transmit user data, spreadsheets, analysis files, appraisal data, or personal content of any kind.

The SOFTWARE PRODUCT may collect only the following limited information:

Activation code
Machine identifier (for license locking)
Basic license-validation telemetry

This data is used solely for licensing and fraud prevention.

7. NO WARRANTIES

The SOFTWARE PRODUCT is provided “AS IS,” without any warranties of any kind, express or implied, including but not limited to:

Merchantability
Fitness for a particular purpose
Noninfringement
Accuracy of analytical results
Compatibility with third-party systems

You assume all risk associated with installing and using the SOFTWARE PRODUCT.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

DataHub Solutions is not liable for any damages, including but not limited to lost profits, lost data, business interruptions, loss of business information, or any other consequential or incidental damages.
DataHub Solutions’ total liability under this EULA will not exceed the amount you paid for the SOFTWARE PRODUCT.

These limitations apply regardless of whether DataHub Solutions was advised of the possibility of such damages.

9. REFUND POLICY

Refunds are governed exclusively by the Refund Policy posted on the DataHub Solutions website.
This EULA does not grant additional refund rights.

Refunds may be denied if:

A license has already been activated
The SOFTWARE PRODUCT shows signs of tampering, misuse, or unauthorized sharing

10. TERMINATION

This EULA is effective until terminated.

Your license automatically terminates if you:

Violate any provision of this EULA
Attempt to bypass activation or license restrictions
Share or distribute activation codes
Modify or reverse-engineer the SOFTWARE PRODUCT

Upon termination:

You must immediately cease all use of the SOFTWARE PRODUCT
You must uninstall all copies
All activation rights are revoked

DataHub Solutions may disable licenses associated with violations.

11. GOVERNING LAW

This EULA is governed by the laws of the State of California, USA.
Any disputes will be resolved exclusively in the courts of Tehama County or Shasta County, California, USA, unless otherwise required by law.

12. ACKNOWLEDGMENT

By installing, activating, or using the SOFTWARE PRODUCT, you acknowledge that:

You have read this EULA
You understand it
You agree to be bound by its terms

If you do not agree, you must not install, activate, or use the SOFTWARE PRODUCT.
